Newschoolers x Dalbello “Jam Session” Video Contest
Official Rules (“Official Rules”)

1. NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR ODDS OF WINNING. Void where prohibited and void in province of Quebec.

2. Introduction: GrindMedia, LLC (“Sponsor”) is offering the Newschoolers x Dalbello Video Contest described in these Official Rules (the “Contest”).

3. Timing: Contest begins at 12:01 a.m. Eastern Time ("ET") on November 1st, 2014 and ends at 11:59 p.m. ET on December 21st, 2014.

4. Eligibility: Entrant must be at least 13 years of age or older on date of entry and a legal resident of the fifty (50) United States, or the District of Columbia. Any entrant who is a minor in his/her jurisdiction of legal residence must obtain permission from his/her parent or legal guardian prior to entry in the Contest. Employees, contractors, directors and officers of the Sponsor and Dalbello and their respective parents, subsidiaries and affiliated companies, distributors, licensees and agents (collectively, “Promotion Parties”) and their immediate family members (defined as parents, spouse, children, siblings and grandparents) of each such employee, and those with whom such employees are domiciled are NOT eligible.

5. How to Enter: NO PURCHASE NECESSARY. Limit one entry per person/email address. From 12:01 a.m. ET on November 1st, 2014 until 11:59 p.m. ET on November 14th, 2014 (the “Seeding Round”) individuals may enter the Contest by completing the following steps: Visit http://www.newschoolers.com and click on the link on the home page to locate the online official entry form (must become a Newschoolers’ member to enter – membership is free). Follow the on-screen directions to enter the Contest, upload your video entry, complete all required fields and click submit to enter. After the Seeding Round, but prior to each head to head round you may upload a new video to replace your original. All entries are subject to a review by Sponsor prior to posting online and the Sponsor in its sole discretion reserves the right to remove an entry/video and disqualify a participant if it believes that an entry/video fails to conform to the herein detailed requirements/restrictions.

6. Video: By entering the Contest and uploading your Contest video, entrants confirm that their submitted video conforms to the following requirements:
a). Video entry must be of your single best rail trick. The video may show multiple angles/attempts, however, one of the shots must show the full trick from takeoff to landing uncut.
b). The entrant has rights to use all elements of video and grants all such rights to Promotional Parties.
d). Entrant has written permission of all the people in the submitted video to use them in the video, to submit the video in the Contest for use as contemplated by these Official Rules and grants all such uses to the Promotional Parties.
e). The video clearly displays the provided Dalbello logo at some point during the video.
f). Video does NOT contain swearing, violence, nudity or illegal activities (any such videos will be disqualified).

7. Additional Conditions of Submission: Any Contest entry/video which Sponsor, in its sole discretion, deems to be inappropriate for publication will be disqualified. Contest entry/video cannot: (a) be sexually explicit or suggestive, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, contain nudity or any materially dangerous activity; (b) promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message; (c) be obscene or offensive, endorse any form of hate or hate group; (d) defame, misrepresent or contain disparaging remarks about Sponsor or its products, or other people, products or companies; (e) contain trademarks, logos or trade dress owned by others, or advertise or promote any brand or product of any kind, without permission, or contain any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses of any person (living or dead); (f) contain copyrighted materials owned by others (including photographs, sculptures, paintings and other works of art or images published on or in websites, television, movies or other media); (g) communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate; and (h) depict, and cannot itself, be in violation of any law. By submitting a Contest entry/video each entrant represents and warrants that: (i) his/her entry/video is his/her sole and original creation and has not been copied in whole or in part from any other work; (ii) the Contest entry/video does not violate or infringe any copyright, trademark/tradename, or other proprietary right of any person (including but not limited to rights of privacy or publicity or portrayal in a false light) or entity; (iii) the Contest entry/video has not been previously published; (iv) Contest entry/video has not won previous awards; and (v) publication of the Contest entry/video via various media including Web posting, will not infringe on the rights of any third party and entrant agrees to indemnify and hold harmless, Sponsor and Promotion Parties from any claims to the contrary.

8. BY SUBMITTING A CONTEST ENTRY, ENTRANT ACKNOWLEDGES THAT HIS/HER CONTEST ENTRY/VIDEO MAY BE POSTED ON SPONSOR’S WEBSITES, IN SPONSOR’S DISCRETION. Posting of a Contest entry/video is not an indication that the entry/video has won a prize or is otherwise eligible for a prize. Your Contest entry/video will be the property of Sponsor, and may be displayed, used or altered by Sponsor (or anyone Sponsor authorizes) for any purpose without any kind of payment to you. It also means that Sponsor or any of their affiliates may produce, market, sell or otherwise distribute products based on (in whole or in part) your entry/video. This means you irrevocably and forever grant and assign to Sponsor all worldwide right, title, and interest in and to your Contest entry/video (and all works derived from them) as well as all intellectual property you create by participating in the Contest. This also means you waive all rights of attribution and integrity if your Contest entry/video is used by Sponsor or anyone Sponsor authorizes. Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to entrants. By submitting a Contest entry/video, you agree that your submission is gratuitous and made without restriction, and will not place Sponsor under any obligation and that Sponsor is free to disclose or otherwise disclose the ideas contained in the Contest entry/video on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to you. You acknowledge that, by acceptance of your submission, Sponsor does not waive any rights to use similar or related ideas previously known to Sponsor, or developed by its employees, or obtained from sources other than you. Sponsor reserves the right to, and may or may not monitor/screen Contest entries/videos prior to posting them to the Website. In addition, by entering and/or accepting a Contest prize, the entrant/winner also waives all moral rights to those materials/assets mentioned in this section.

9. Voting: POSTING OF SUBMITTED VIDEOS FOR SEEDING VOTE: From 8:00 a.m. ET on November 1st, 2014 till 11:59 p.m. ET on November 14th, 2014 all submitted and eligible Contest videos will be posted in the Contest gallery for public voting (“Seeding Vote”).

HEAD TO HEAD ROUND #1: At the conclusion of the Seeding Vote, the top eight (8) Contest videos that receive the highest number of votes are ranked from highest vote to lowest and then proceed to a head to a head vote round (“H2H#1”) where they compete against one of the other seeded videos with the object of obtaining the highest votes. The head to head pairings for H2H#1 are as follows: video ranked #1 vs. video ranked #8, #2 vs. #7, #3 vs. #6, and #4 vs. #5.

HEAD TO HEAD ROUND #2: At the end of H2H#1 each of the four (4) winning videos is ranked from highest vote to lowest and then proceeds to a new head to head vote round (“H2H#2”) where they compete for the highest votes against one of the other winning videos from H2H#1. The head to head pairings for H2H#2 are as follows: video ranked #1 vs. video ranked #4, and #2 vs. #3.

HEAD TO HEAD FINAL ROUND: At the end of H2H#2, the two resulting winners will compete against each other for the highest votes (“H2HFinal”). The winner of H2HFinal is the final winner of the Contest and will be awarded the first prize.

Prior to H2H#1, H2H#2 and H2HFinal there is a two (2) day video upload period that may be used by the entrants who have made it to each respective round.

After uploading, videos are private and cannot be viewed by public until the start of each above-mentioned voting period. Winning is subject to verification. In the event of a tie, winner(s) will be determined by the Contest entry/video deemed most creative, as determined solely by the Sponsor.

10. How to Vote: Go to the Contest website and click on the link to locate the online official voting form. Follow on-screen directions to vote. LIMIT ONE (1) VOTE PER CONTEST ENTRY PER PERSON/E-MAIL ADDRESS DURING EACH VOTING PERIOD MENTIONED IN ABOVE TABLE. Improper, incomplete, mutilated and illegible votes will be disqualified. Any attempt by entrant and/or his/her family/friends to vote more than the number of times authorized herein using multiple names or email address and/or any other fraudulent mechanism, as determined by Sponsor in its sole discretion, shall give Sponsor the right to disqualify entrant in its reasonable discretion and all of the ineligible votes. Sponsor reserves the right to void all votes made through any script, macro, robotic, automatic, mechanical, programmed or similar duplication method. Furthermore, entrants may not offer to buy or pay for votes or compensate a voter for a vote in any way. Any attempt by any person to fraudulently circumvent the voting restrictions in order to cast multiple votes will result in disqualification of all such votes received and may result in disqualification of the entrants for whom the improper votes were received if Sponsor determines that that entrant was involved in any way in the perpetration of such fraud.

11. Winner announced January 1, 2015.

11. Prizes and Approximate Retail Values (“ARV”): One (1) FIRST PRIZE awarded to winner of final round: 2014/15 Dalbello Il Moro Team Comp Boots ($800), Dalbello Hoodie ($49.95), total: $849.95). One (1) SECOND PRIZE awarded to loser of final round: 2014/15 Dalbello Rampage ID boots ($650), Dalbello Hoodie ($49.95), total: $699.95. Two (2) SECONDARY PRIZES awarded to the each of the remaining losers from H2H#2: Dalbello Hoodie ($49.95 per winner). Total cumulative ARV of all Prizes is $1,649.80. No substitution, cash redemption or transfer of prize is permitted except at Sponsor’s sole discretion. If a prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute a prize of equal or greater value. All applicable taxes on a prize are the sole responsibility of applicable winner. Any additional expenses/costs associated with a prize, its acceptance or use is the sole responsibility of applicable winner. Arrangements for delivery of prizes will be performed after winner validation. LIMIT ONE (1) PRIZE PER PERSON/EMAIL ADDRESS/HOUSEHOLD. At Sponsor’s discretion, unclaimed prizes may not be awarded. All prize values stated herein are in United States dollars. Visual prize depictions may not accurately represent an awarded prize.

12. Conditions: Sponsor’s decisions are final in all matters relating to this Contest. All potential winners (or winner’s parent/legal guardian) will be notified by telephone, email, regular mail or overnight mail, and may be required to complete, sign and return a declaration of eligibility, a liability release, and where lawful, a publicity release within a stated amount of time. If declarations/releases are not received by the date stated on the notification, or if any notification is returned as non-deliverable, or if a potential winner is found to be ineligible or not in compliance with these Official Rules, or does not return such other releases as deemed necessary by Sponsor, the potential winner will be disqualified and at Sponsor's discretion, an alternative potential winner may be selected.. Sponsor is not responsible for any change of email address, mailing address and/or telephone number of entrants. Promotion Parties assume no responsibility for lost, late, misdirected, stolen, illegible, inaccurate, damaged or incomplete entries or other communications, non-delivered or postage due mail, failure or unavailability of electronic equipment, communications or internet connections, or other errors, failures or malfunctions of any kind. Entries by automatic, programmed or like methods will be disqualified. Improper, incomplete, mutilated and illegible entries will be disqualified. Prizes will be awarded only to an address within the United States or Canada (excluding province of Quebec). This Contest is subject to all federal, state, provincial, territorial and local laws. By participating, entrants (or entrant’s parent/legal guardian) agree to be bound by these Official Rules and the decisions of the Sponsor. If, in Sponsor’s sole opinion, the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, the Sponsor reserves the right to modify or terminate the Contest in a manner deemed reasonable by the Sponsor, at the Sponsor’s sole discretion. In the event of cancellation of the Contest, Sponsor will randomly award the prizes from among all eligible, non-suspect Contest Entries received prior to cancellation. Sponsor reserve the right to disqualify any individual who tampers with the entry process or the Website or acts in a disruptive manner.

13. Personal information: The personal information collected through this Contest is subject to Sponsor’s Privacy Policy located at http://www.grindmedia.com/privacy-policy/. By entering this Contest, you agree to the use of your personal information as described in the above Privacy Policy. Please be advised that your entry information and video may be sent to another jurisdiction/country for processing and while the information is in another jurisdiction it may be accessed by the courts, law enforcement and national security authorities in that jurisdiction.

14. Damages: As a condition of entering the Contest, entrants agree (and agree to confirm in writing): (a) to release Promotion Parties their affiliates, subsidiaries, retailers, sales representatives, distributors, dealers, advertising and promotion agencies and each of their officers, directors, employees and agents, from any and all liability, loss or damage incurred with respect to the awarding, receipt, possession, and/or use or misuse of any prize, or the use of any photo or Contest entry/video (b) under no circumstances will an entrant be permitted to obtain awards for, and the entrant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this Contest, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs.

15. Release: Except where prohibited, by accepting a prize, a winner (or winner’s parent/legal guardian) grants permission for Sponsor and their agents to use winner’s name, video/photograph, voice and/or likeness, for advertising and/or publicity purposes in any and all media now known or hereinafter invented without territorial or time limitations and without additional compensation.

16. Winners’ List: A list of prizewinners will be available by sending a stamped self-addressed envelope after January 1, 2015 to Newschoolers x Dalbello “Best Rail Trick” Video Contest - c/o GrindMedia, LLC, 831 South Douglas Street, El Segundo, CA, 90245 Attn: Legal.

17. Sponsor: The Contest is sponsored by GrindMedia, LLC (owner and publisher of Newschoolers.com), whose address is 831 South Douglas Street, El Segundo, CA 90245.

18. Facebook: The Contest is not sponsored, endorsed or administrated by, or associated with, Facebook. By entering the Contest, the participant acknowledges and agrees that he/she is providing his/her information/video to the Sponsor and not to Facebook.
